1. Scope of Services

These Terms of Service ("Terms") govern the provision of software engineering, web development, custom integration, and IT consulting services provided under the brand name IDH.ro, which is operated exclusively by ECOMPLEX.RO SRL, a company organized under the laws of Romania, with its registered address in Hunedoara County, registered with the Trade Register under no. J2023000287154, tax code (CUI) 47757945.

By engaging us for design, engineering, or consulting work, or by submitting a request through our website contact form, you agree to comply with and be bound by these Terms.

2. Client Engagements & Scope of Work

For each project, a separate written agreement, proposal, or statement of work (SOW) will be executed detailing:

  • The specific functional scope and specifications of deliverables.
  • Timelines, delivery milestones, and deployment processes.
  • Financial terms, pricing models (milestone-based, hourly rate, or fixed-fee), and payment schedule.

Any deviation, additional features, or scope changes requested after signing will be treated as a change order and may incur additional charges or affect delivery timelines.

3. Intellectual Property Rights

Unless otherwise specified in a custom services contract:

  • Upon receipt of full and final payment, ECOMPLEX.RO SRL transfers to the client the intellectual property rights and ownership of the custom code written specifically for the client's deliverables.
  • IDH.ro / ECOMPLEX.RO SRL retains all rights, titles, and interests in any pre-existing code libraries, utility scripts, boilerplate architectures, or software modules utilized to build client solutions.

4. Client Responsibilities

The client is solely responsible for:

  • Providing timely feedback, approvals, and assets (copy, graphics, brand resources, API credentials) necessary to prevent delivery delays.
  • Maintaining secure backups and access permissions of servers, hosting accounts, and third-party SaaS tools requested for integrations.
  • The legal compliance of their content, products, and terms of use listed on portals engineered by us.

5. Limitation of Liability

To the maximum extent permitted by applicable Romanian law, ECOMPLEX.RO SRL shall not be liable for any indirect, incidental, special, exemplary, or consequential damages, including loss of profits, revenue, data, or interruption of server operations arising from client system modifications or third-party API deprecations.

Our total liability under any service contract or agreement shall not exceed the total fees paid by the client for the specific service milestone causing the dispute.

5.1 Online Payments — EuPlatesc

Online card payments on IDH.ro are processed exclusively by EuPlatesc S.A., a licensed payment institution authorized by the National Bank of Romania. We do not receive, store, process, or transmit payment card numbers, CVV codes, or any banking credentials. All such data is handled entirely within EuPlatesc's PCI-DSS compliant infrastructure.

5.2 Artificial Intelligence & AI Act Compliance

IDH designs, licenses, and implements various software products, plugins, and customized integrations that may utilize Artificial Intelligence (AI) technologies and Large Language Models (LLMs) via third-party API providers (such as OpenAI, Anthropic, or others). We are committed to building AI-assisted software in alignment with responsible AI design practices and relevant regulatory frameworks, including the European Union Artificial Intelligence Act (Regulation (EU) 2024/1689).

Unless explicitly documented otherwise for a specific service or application, any AI features integrated into our software act strictly as recommendation or drafting assistants, operating within private administrative dashboards. They do not automatically publish content to live storefronts or public interfaces. The user retains complete final control and is the sole evaluator of what content is applied, approved, or published.

The end user is exclusively responsible for the final publication and compliance of any content on their systems. This includes, without limitation, fulfilling any labeling requirements for AI-generated content (such as Article 50 of the EU AI Act) or respecting copyright/provenance disclosures. IDH software does not intentionally alter, remove, or strip machine-readable watermark metadata or origin markings generated by third-party LLM providers.

5.3 Right of Withdrawal & Refund Policy

In accordance with Article 16(m) of the EU Consumer Rights Directive (transposed in Romania under Article 16 lit. m of OUG 34/2014), the right of withdrawal (14-day refund period) does not apply to the supply of digital content not delivered on a physical medium once the performance/delivery has begun.

For digital products purchased on IDH.ro (such as plugin downloads, software licenses, or activation keys), the delivery begins immediately upon the successful generation of your license key or download access. By completing your purchase and check-out, you expressly consent to the immediate execution of the contract and acknowledge that you thereby forfeit your right of withdrawal.

Consequently, all software license purchases are final and non-refundable, unless otherwise stated in writing or mandated by mandatory legal provisions. If you encounter any technical issues activating or using our software, please contact our support team.

6. Governing Law & Dispute Resolution

These Terms and any individual service contracts shall be governed by and construed in accordance with the laws of Romania.

Any disputes arising in connection with these Terms, if not resolved amicably through constructive negotiation, shall be submitted to the jurisdiction of the competent courts of Romania.
